ARTICLES OF INCORPORATION 
OF 
SAINT MARY’S SCHOOL FOUNDATION, INC.  

 KNOW ALL MEN BY THESE PRESENTS: 

The undersigned, all of legal age, Filipinos and residents of the Philippines, have this day voluntarily agreed to form a non-stock and non-profit corporation under the laws of the Republic of the Philippines. 

AND WE HEREBY CERTIFY: 

FIRST:  That the name of the said corporation shall be: 

SAINT MARY’S SCHOOL FOUNDATION, INC.

SECOND: That the purpose or purposes for which the corporation is incorporated are: 

1.    To effect the conversion of Saint Mary’s School, Sagada, Mountain Province to a non-stock and non-profit foundation;  

2.    To provide high quality instruction, at the least possible cost, to persons, irrespective of nationality, creed and gender, in arts, sciences, technology and other studies embraced in pre-school, kindergarten, primary, intermediate, high school and vocational levels, within a Christian environment; 

3.    To purchase, receive, acquire, hold, sell, lease, exchange, mortgage or otherwise deal in real and personal property as may be necessary, useful or required in the operation or transaction of the business; and 

4.     To form, establish, organize, operate, and maintain directly or indirectly, dormitories, foundations or other establishments and engage in charitable or civic activities considered essential or incidental to the growth, development and existence of the corporation. 

THIRD:  That the principal office of the corporation is located in Sagada, Mountain Province, Philippines. 

FOURTH:  That the term for which the said corporation is to exist is fifty (50) years from and after the date of incorporation.

EIGHTH:  That Soledad B. Belingon has been elected treasurer by the members of the board of trustees, to act as such until her successor has been duly elected and qualified in accordance with the By-Laws, and that as treasurer, she has been authorized to receive contributions and donations, in the name and behalf of the corporation; 

NINTH:  That the corporation accedes to the Constitution and Canons of the Philippine Episcopal Church and the Episcopal Diocese of Northern Philippines, and acknowledges their authority thereof; 

TENTH: That the corporation shall likewise abide by all laws of the Republic of the Philippines and the legally promulgated rules and regulations of the Securities and Exchange Commission; 

ELEVENTH:   That the corporation shall be maintained by tuition and instruction fees, matriculation fees, donations, charitable contributions gifts and such other monies, properties and resources as may be bequeathed to it by will or contract, and financial support from the Episcopal Diocese of Northern Philippines. 

TWELFTH: That in the event of its dissolution, all assets and properties of the corporation shall revert to the Episcopal Diocese of Northern Philippines; 

THIRTEENTH: That all profits of the corporation shall be utilized only to accomplish its objectives as aforementioned, and that no profits derived from the operations of the corporation shall inure to the benefit of any its members or officers.
